These terms and conditions govern your access to and use of the Site and the products and services we offer. Please read them carefully before availing of any of the Services and Products we provide. The terms “we”, “us” or “our” refer to the Site.

Please note that by visiting our site, and/or buying products from us, you are agreeing to these terms and conditions, including the additional terms and conditions available by hyperlink. Your consent to be bound by these terms is both on your behalf and on behalf of any corporate entity that employs you or which you represent, and the term “you” as used herein will be deemed to refer to both you and your employer, jointly and severally. If you are an employee, contractor, or otherwise using or subscribing to the services by or on behalf of a corporate entity, organization, or any other third-party entity, you represent and warrant to us that:

• You are of the age of majority in your jurisdiction.
• You have all the requisite capacity, right, power, and authority to accept this license on behalf of such entity.
• Such entity shall be irrevocably bound by and shall comply with all of the terms and conditions of this agreement.

Our services and products will continue to evolve as we refine features and functionality. We may terminate, suspend, or modify the Products and Services, in general, or with respect to you, from time to time, without cause or prior notice. We will have the authority to delete any content or data from the Products and Services at our discretion.

All documents, images, text, and information on the Site are protected by copyright. Except as specifically permitted herein, no portion of the documents or information on this website may be reproduced in any form or by any means without our express written consent.

Please read these terms and conditions carefully before opting for or accessing any of our Services and Products.

The services covered in this development project will be clearly defined and mutually agreed upon in writing by both parties. Any additional features or functions beyond what is specified in this scope may require a separate agreement and additional fees.

Where Oyelabs delivers a clone-based or template-based application (including but not limited to marketplace clones, on-demand app clones, or platform-inspired solutions), the client acknowledges that such products are independently developed functional replicas and are not affiliated with, endorsed by, or licensed by the original platform they resemble. The client is solely responsible for ensuring that their use, branding, and deployment of such products do not infringe upon the trademarks, trade dress, or intellectual property rights of any third party. Oyelabs makes no representation that any clone product is cleared for use in any specific jurisdiction or market.

Certain deliverables provided by Oyelabs may incorporate third-party components, scripts, or frameworks that are subject to their own licensing terms, including but not limited to items licensed under Envato’s Regular or Extended License terms. The client acknowledges that they are the designated end-user of any such third-party license and agrees to comply with all applicable third-party license terms. Oyelabs does not transfer, sublicense, or guarantee any rights beyond what is permitted under the original third-party license. It is the client’s sole responsibility to obtain any additional licenses required for their intended use, including extended or multi-use licenses where applicable.

Unless explicitly agreed in a separate written reseller or multi-license agreement, the delivered product is licensed for a single end-product deployment by the client only. The client is strictly prohibited from reselling, redistributing, sublicensing, or transferring the delivered solution, in whole or in part, to any third party. Any use of the delivered product as a SaaS platform serving multiple independent end-users or organizations may require an additional license, which must be agreed upon in writing with Oyelabs prior to such deployment.

Both parties agree to keep all project-related information and materials strictly confidential. Any sensitive or proprietary data exchanged during the project will be handled with the highest level of confidentiality and will not be shared with third parties without prior written consent.

The client grants Oyelabs permission to use their name in promotional materials, including client lists for marketing purposes. This permission will remain in effect unless otherwise agreed in writing. Either party may revoke or alter this permission by providing written notice, with changes taking effect upon mutual agreement.

The client is solely responsible for ensuring that the platform or application complies with all relevant laws and regulations in their jurisdiction. Oyelabs will not be held accountable for any legal issues that arise due to the client’s non-compliance with applicable regulations.

This obligation expressly includes compliance with intellectual property law, trademark law, and any platform-specific terms of service relevant to the client’s market or use case. Clients deploying clone-based products are specifically advised to seek independent legal counsel regarding trademark clearance and market-specific IP obligations before launching their platform.

While Oyelabs aims to adhere to the agreed project schedule, unforeseen circumstances or external factors may impact the timeline. In the event of any significant delays, Oyelabs will notify the client promptly and make reasonable efforts to stay on track.

The payment structure, including the schedule and amount, will be agreed upon in writing before the project begins. Unless otherwise stated in writing, all pricing, invoices, quotations, and payments shall be calculated and processed in United States Dollars (USD). Oyelabs may require an initial payment to start the project, with the balance due upon completion and client approval of the final deliverables.

Cancellation and refund requests are governed by Oyelabs’ Refund Policy, available at https://oyelabs.com/refund-policy/. The following terms apply in conjunction with that policy:

All amounts owed to Oyelabs for services rendered or work completed prior to the verified cancellation date must be paid in full, regardless of the reason for cancellation.

Refund requests must be submitted in writing to grow@oyelabs.com by the original authorizing party. Requests submitted by unauthorized personnel will not be processed.

In the event that a client cancels a project after work has commenced, Oyelabs reserves the right to invoice for all work completed to the point of cancellation, including any third-party costs incurred on the client’s behalf.

No refund shall be issued for delivered and approved project milestones, regardless of cancellation timing.

By accessing and using Oyelabs website or any of its Products and Services, you acknowledge and represent that you are of legal age in your state or province of residence. If you are not of legal age, you confirm that you have obtained the consent of your parent or legal guardian to use our services.

You agree to use our products and services only for lawful and authorized purposes, and you will not violate any laws or regulations applicable in your jurisdiction, including but not limited to intellectual property laws.

You are prohibited from transmitting any viruses, malware, or any other harmful code that may damage or disrupt our website, products, or services.

Any breach or violation of these Terms of Service will result in the immediate termination of your access to our services.

Oyelabs reserves the right to refuse service to anyone, at any time and for any reason, without prior notice or explanation.

You acknowledge that any content you provide to Oyelabs, excluding credit card information, may be transmitted unencrypted over various networks and may need to be modified to conform to the technical requirements of connecting networks or devices. While we take reasonable steps to protect your content, we do not guarantee its security or confidentiality.

You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of our services, use our services, or access our services, including any contact information provided on our website, without express written permission from Oyelabs.

The headings used in these Terms of Service are included for convenience only and will not limit or otherwise affect these Terms & Conditions.

Any changes or updates to this agreement must be made in writing and signed by authorized representatives of both parties to be valid.

Oyelabs does not guarantee that any information made available on the site is accurate, complete, or current. The content on our site is provided with the intent of general awareness only and must not be relied upon as primary decision-making factors. Your use of our website is entirely at your own risk, and we cannot guarantee the accuracy or completeness of the information provided.

This website may include historical information. The historical information is essentially not current but provided as a reference only. We have the complete authority to edit the content of this site at any time, but we do not have any obligation to update any existing information on the site.

Prices or costs for our products and services are subject to change with or without any prior notice.

We will always have the right to make the final call to modify or discontinue a specific service (or any specific part of the content) with or without notice at any time.

We will not be answerable to you or any third party for any modification, including price change, suspension, or discontinuation of services.

We do not assure that the quality of any product, service, information, or other items purchased or availed by you will meet your expectations or that any errors or flaws in the products and services will be fixed or corrected.

We reserve the right to modify, cancel, or refuse any order for any reason, including but not limited to errors in the pricing, descriptions, or availability of products or services. We may also request additional verification or information before accepting any order.

It is your responsibility to provide accurate, current, and complete billing and account information for all purchases made on our website. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers, or distributors.

Oyelabs may offer you access to third-party tools on which we don’t monitor or have any type of control and input.

Any use of these third-party tools is entirely at your own risk and discretion. We provide access to these tools “as is” and “as available” without any warranties, representations, or conditions of any kind. We do not endorse or guarantee the accuracy, completeness, or reliability of any information, products, or services provided by third-party tools.

Your use of optional third-party tools offered through the site is entirely at your own risk and subject to the terms and conditions set forth by the relevant third-party provider(s). We will not be liable for any damages, losses, or expenses resulting from your use of these tools.

In addition, we may, from time to time, introduce new services and features through our website, including the release of new tools and resources. Any new features and/or services shall also be subject to these Terms of Service.

There can be certain products or services available on our site that may contain materials from third-party sources.

Third-party links present on our site can take you to third-party websites that are not affiliated with us in any way. Oyelabs is not committed to any responsibility for assessing or analyzing the content or accuracy and we will not be liable for any third-party materials or websites or even for any other items/materials, products, or services from third parties.

Where Oyelabs has agreed, in writing, to deliver a white-label branded application using the client’s branding, the client hereby grants Oyelabs a non-exclusive, royalty-free, worldwide license to use the client’s trademarks, trade dress, logos, and brand assets solely for the purposes of building, testing, and delivering that white-label application. This license terminates upon final delivery and full payment, unless a separate written agreement extends it for support or maintenance purposes.

All underlying source code, frameworks, base scripts, and proprietary technology used in the development of the white-label application remain the intellectual property of Oyelabs unless explicitly transferred in writing as part of a separate source code ownership agreement. The client receives a license to use the delivered application for their business purposes, which does not constitute a transfer of ownership of the underlying codebase.

Any white-label application delivered by Oyelabs may be referenced in Oyelabs’ portfolio, case studies, or promotional materials unless the client has submitted a written request for confidentiality prior to project commencement, which Oyelabs has acknowledged in writing.

Where the white-label application is based on a clone or template product, the client expressly acknowledges that the underlying codebase may contain third-party licensed components. The white-label license granted herein does not extend to or override any restrictions imposed by such third-party licenses. Oyelabs shall not be liable for any claims arising from the client’s use of white-label clone products in a manner inconsistent with applicable third-party license terms.

In case due to our request, you are sending certain submissions or without any request from us you are sending materials like creative ideas, suggestions, proposals, plans, or others either online, via email, via postal mail, or even in comments, you are agreeing that we can, at any time, without any limitation, edit/modify, copy, publish, distribute, translate, and use in any medium.

Oyelabs is under no obligation to:

• Maintain the confidentiality of the comments.
• Compensate you for any comments; or
• Respond to any comments.

We reserve the right to review, modify, or remove any content posted by users that we, at our sole discretion, find inappropriate, offensive, defamatory, or in violation of any intellectual property rights or these Terms of Service.

By posting comments on our website, you agree to comply with all applicable laws and regulations, and that your comments will not infringe on any third-party rights, including intellectual property, privacy, or publicity rights. Furthermore, you agree not to post any content that is obscene, abusive, illegal, or that contains any computer virus or other malware that may harm the Service or any related website.

If you are established in the European Economic Area (EEA), provide goods or services to customers in the EEA, or are otherwise subject to the EU General Data Protection Regulation (GDPR), Oyelabs’ collection and use of personal information of any European residents in connection with services rendered to you will be handled in compliance with applicable data protection law. Clients with GDPR obligations are advised to contact Oyelabs at grow@oyelabs.com to discuss a Data Processing Addendum (DPA) prior to project commencement.

Oyelabs acts as a data processor with respect to any personal data shared by the client for purposes of project delivery. The client, as data controller, is solely responsible for ensuring that any personal data provided to Oyelabs has been collected lawfully and that sharing it with Oyelabs is permitted under applicable law.

Occasionally, typographical errors, inaccuracies, or omissions can be found in the information on our site, products, or services. These mistakes can be linked to product descriptions, pricing, promotions, offers, product shipping fees, transit times, and availability. Oyelabs reserves the right to correct any errors, inaccuracies, or omissions and to completely change, edit, or update information or cancel orders if any information in the services or products or on any linked website is incorrect or inaccurate at any time without any prior notice, even after you have placed your order.

We do not have a duty to revise, modify, or clarify any information found on our Service or any associated website, except as required by applicable laws. We make no guarantees that any information, including pricing information, is current, complete, or accurate.

The use of the site and its content is subject to certain prohibitions as set forth in these Terms of Service. You are strictly prohibited from using the site or its content:

In no event shall Oyelabs, along with our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers, or licensors, be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind arising from your use of our service or any products procured through it, or for any other claim related in any way to your use of our service, including but not limited to any errors or omissions in any content or any loss or damage incurred as a result of the use of our service or any content posted, transmitted, or otherwise made available through it, even if advised of the possibility of such damages. Because some states or jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

Oyelabs does not warrant that any clone-based or platform-inspired product delivered hereunder is free from third-party intellectual property claims, nor that its use in any specific jurisdiction will be free from legal challenge. The client assumes all risk associated with the commercial deployment of such products.

You agree to indemnify, defend, and hold harmless Oyelabs and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees, from any claim, demand, or damage, including reasonable attorneys’ fees, made by any third party as a result of or arising out of your breach of these Terms of Service, violation of any law, or violation of the rights of a third party, including but not limited to any infringement of intellectual property rights or privacy rights.

If any provision of these Terms of Service is found to be unlawful, void, or unenforceable, the remaining provisions shall remain in full force and effect. The unenforceable provision shall be deemed modified to the extent necessary to make it enforceable and achieve the intended purpose to the fullest extent permitted by law. Such modification shall not affect the validity or enforceability of any other provision in these Terms of Service.

These Terms of Service will remain effective unless terminated by either party. You may terminate these Terms at any time by notifying us that you no longer wish to use our Services or by ceasing to use our site. Either party may also terminate the agreement by providing written notice to the other party.

If we suspect or determine that you have failed to comply with any term or provision of these Terms of Service, we may terminate this agreement immediately and without notice. In such cases, you will remain responsible for all amounts due up to and including the date of termination, and we may deny you access to our Services (or any part thereof).

In the event of termination initiated by you or by us, you will be responsible for paying Oyelabs for any work completed up to that point, including any outstanding expenses, within 30 days of the termination notice. If you do not maintain communication with Oyelabs for three consecutive months, the project will be considered automatically terminated, and you will be required to compensate us for work performed up to that termination date.

Any obligations or liabilities that arose prior to the termination date will continue to apply even after the termination of these Terms of Service.

If we fail to enforce or exercise any right or provision of these Terms of Service, that will constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this site or with respect to the Service constitute the entire agreement and understanding between you and Oyelabs and govern your use of the Service, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

Any ambiguities in the interpretation of these Terms of Service shall not be construed against Oyelabs as the drafting party.

These Terms of Service, along with any separate agreements through which we provide you with services, shall be governed by and interpreted in accordance with the laws of India.

Any disputes arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts located in Panchkula, Haryana, India. Clients engaging with Oyelabs from outside India acknowledge and agree to this jurisdiction. Where a separate written contract specifies an alternate governing jurisdiction, that contract shall take precedence solely with respect to that jurisdiction clause.
